Corporate Counsel

We’re looking for a self-driven leader capable of taking full ownership of legal and risk management matters with a focus on handling domestic and international revenue sales contracts, such as subscription, software, and professional services agreements, as well as procurement transactions and other corporate legal matters.  As Corporate Counsel you will be the main legal contact and negotiator working closely with business leaders to provide legal services related to complex and routine commercial contracts; product development privacy laws and information security; establishing contract policies, legal processes and contract tracking systems; establishing and overseeing corporate legal and risk policy development, and compliance.

Responsibilities:

  • Draft, review, analyze, revise and negotiate a variety of commercial contracts including customer agreements, subscription services, technology and software licensing, consulting/professional services, procurement contracts, and other company agreements, including:
    • SaaS contracts
    • NDA’s/confidentiality agreements
    • P&A and Reseller agreements
    • Vendor agreements
    • RFP’s
    • GDPR – privacy and data related agreements
    • Marketing services agreements
    • Labor and employment agreements, desired
  • Serve as partner to Sales with prospective customers by managing day-to-day transactional deal flow.
  • Operationalize legal workflow and contract management across the company.
  • Work with business leaders to develop or enhance compliance strategies around data privacy, data security, information technology, intellectual property and other risk areas.
  • Work with others across the organization to develop and maintain company corporate governance policies and processes.
  • Identify potential legal risks, manage and advise on potential contentious matters.
  • Interpret and provide clarification on legal language or specifications.

Characteristics

We’re looking for an intelligent, highly-motivated individual, who is able to succeed in a fast-moving company and industry.  The candidate must be a self-starter who can see the goal and execute against it.

  • JD from an accredited US Law School; must be admitted, active and in good standing with the State bar.
  • At least 2 years of in-house legal experience (preferably in high growth technology company).
  • 4+ years of broad-based yet in-depth contract law and commercial experience.
  • Demonstrated knowledge and expertise in SaaS, licensed software, cloud-based solutions, intellectual property, and open source.
  • Ability to understand, interpret and convey contractual T&C’s to Marketing Evolution staff and customers, as well as facilitate an understanding of contract scope, nuances, deviations, key terms, through acceptance of contract.
  • Familiarity with International Data Protection Legislation.
  • Experience with procurement agreements for products and services including software, technology, professional services, outsourcing agreements (offshore)
  • Able to handle and prioritize a high volume of contracts with limited supervision
